Subject: Sec. of State- Ohio Update

May 18, 2001, 4:20 P.M.

Sec. of State for the State of Ohio ACCEPTS UCC-1 Financing Statements for filing, capturing the straw man.

After several weeks communicating with lead council for the Sec. of State-Ohio, Eric M. Seabrook, Esq. and I came to an understanding which now allows for the filing of UCC-1 Financing Statements. After careful review by Mr. Seabrook and his staff, seven UCC-1s were accepted for filing today.  Only minor changes were necessary to meet with his approval, much to his dismay. These changes were:

1) Remove the word ORGINIZATION  from the Debtor's name.
2) The Debtor and the Secured Party cannot be the same person, legal or otherwise.
3) The Security Agreement must contain some physical collateral, of value, other than the Birth Certificate, SS Card, etc. ( A TV, Computer, etc.)
4) Must have a wet ink signature of the Debtor

Signed:
The Secured Party
